This Glossary was adopted by Backchat Proprietary Limited (Registration Number: 2023/735133/07) with effect from 28 February 2026. It defines the capitalised terms used across all Backchat policies, including our Terms of Service, Privacy Policy, Usage Policy, and Disclaimers.
Definitions
A
- "AI Agent"
- The artificial intelligence-powered outbound calling (voice) agent deployable by Users on the Platform.
- "Applicable Laws and Regulations" or "Applicable Law or Regulation"

Any law or regulation enacted in RSA and having any bearing on the Chatterbox Platform, any Services or any Content generated or transmitted on the Platform, including (without any limitation whatsoever):
- the Protection of Personal Information Act 4 of 2013;
- the Consumer Protection Act 68 of 2008;
- the Electronic Communications and Transactions Act 25 of 2002;
- the National Credit Act 34 of 2005;
- the Regulation of Interception of Communications and Provision of Communication-Related Information Act 70 of 2002 (RICA);
- the Financial Advisory and Intermediary Services Act 37 of 2002;
- the Companies Act 71 of 2008; and
- the Tax Administration Act 28 of 2011.

- "Backchat"
- Backchat Proprietary Limited, a private company incorporated according to the laws of RSA, with registration number: 2023/735133/07.
- "Business Days"
- Any day except a Saturday, Sunday or official public holiday in RSA.
- "Business Hours"
- 08h00 - 17h00 on any Business Day.

- "Campaign(s)"
- A User-initiated series of outbound calls configured on the Platform for the specified duration and purpose.
- "Chatterbox"
- The Platform and corresponding Services operated by Backchat.
- "Content"
- Any messages, scripts, audio recordings, information and data uploaded, generated or transmitted on the Platform as part of any Campaign of any Chatterbox User.

- "Data Subjects"
- The third parties (whether natural or juristic persons) to whom the Personal Information Processed by Backchat relates.
- "Debt Collection"
- Any activity associated with the recovery of overdue payments by Target Recipient debtors.
- "Direct Marketing"
- Any activity associated with the direct or indirect purpose of promoting or offering to supply goods or services in the ordinary course of business, or requesting a donation.

- "Force Majeure Event"
- Any circumstance beyond the reasonable control of Backchat, including but not limited to acts of God, natural disasters, war, civil unrest, strikes, pandemics, government-imposed restrictions and regulations, or the failure in public utilities.
I
- "Information Officer"
- The designated head of Backchat, being a private body contemplated by POPIA.
- "Information Regulator"
- The independent regulatory body established by POPIA.
- "Intellectual Property"
- All and any of Backchat's intellectual property and rights, irrespective of whether or not such property or rights are registered or capable of being registered, including without limitation, the Chatterbox brand and Platform, Backchat's corporate identification, trademarks, trade names, designs, brand names, logos, slogans, emblems, copyrights, patents, inventions, designs, know-how, processes, improvements, specialised information and expertise, methodologies, application programming interfaces (APIs), data structures, platform infrastructure and service logic.

- "KYC"
- Know your customer.

- "Minimum Reserve Balance"
- The Service Fee equivalence of every pre-configured voice communication of any given Campaign, irrespective of Successful Outcomes.

- "NCR"
- The National Credit Regulator established by the National Credit Act 34 of 2005.

- "PAIA"
- The Promotion of Access to Information Act 2 of 2000, as may be amended from time to time.
- "Personal Information"

Information relating to an identifiable, living, natural person, and where it is applicable, an identifiable, existing juristic person, including, but not limited to:
- information relating to the race, gender, sex, pregnancy, marital status, national, ethnic or social origin, colour, sexual orientation, age, physical or mental health, well-being, disability, religion, conscience, belief, culture, language and birth of the person;
- information relating to the education or the medical, financial, criminal or employment history of the person;
- any identifying number, symbol, e-mail address, physical address, telephone number, location information, online identifier or other particular assignment to the person;
- the biometric information of the person;
- the personal opinions, views or preferences of the person;
- correspondence sent by the person that is implicitly or explicitly of a private or confidential nature or further correspondence that would reveal the contents of the original correspondence;
- the views or opinions of another individual about the person; and/or
- the name of the person if it appears with other personal information relating to the person or if the disclosure of the name itself would reveal information about the person.
- "Platform"
- The Chatterbox web-based portal and associated Services.
- "Policies"

Any and all of the policies as may be adopted by Backchat from time to time, including but not necessarily limited to:
- the Backchat Privacy Policy; and
- the Backchat Acceptable Usage Policy.
- "POPIA"
- The Protection of Personal Information Act 4 of 2013, as may be amended from time to time.
- "Pre-Funded Wallet"
- For each User, the electronic wallet facilitating the use of the Services available on the Chatterbox Platform and the settlement of the corresponding Service Fees.
- "Process", "Processed" or "Processing"

Any operation or activity or any set of operations, whether or not by automatic means, concerning personal information, including:
- the collection, receipt, recording, organisation, collation, storage, updating or modification, retrieval, alteration, consultation or use;
- dissemination by means of transmission, distribution or making available in any other form; or
- merging, linking, as well as restriction, degradation, erasure or destruction of information.
R
- "Reserved Funds"
- The monies deposited into a Pre-Funded Wallet and standing in reservation of a Minimum Reserve Balance.
- "Responsible Party"
- Backchat, being a private body which determines the purpose of and means for processing personal information in the course of its business activities.
- "RSA"
- The Republic of South Africa.

- "Services" or "Service"
- All of the features and functions available to Users on the Platform.
- "Service Fees"
- The Service Fees deductible by Backchat from the Pre-Funded Wallets of Chatterbox Users as consideration for the Services utilised by these Users.
- "Successful Outcome"
- A call to a Target Recipient that is connected and answered by the Target Recipient, irrespective of the duration of the call, specifically excluding any calls which are unanswered, directed to voicemail, or disconnected prior to being answered.

- "Target Recipient"
- Any person or entity who receives Content generated by Campaigns configured on the Platform.
- "Terms of Service"
- The terms of service regulating the terms and conditions applicable to the use of the Chatterbox Platform and corresponding Services, and the legal relationship between Chatterbox Users and Backchat, as may be updated from time to time.

- "User"
- The users of the Chatterbox Platform and any corresponding Service.

- "Writing"
- Any type-written communications including electronic mail.
